Also, nothing contained on this Website shall be interpreted as advising you. Templates sold and distributed by ProEdge Investors LLC are done so in the hope that they will be useful, but WITHOUT ANY WARRANTY; without even the implied warranty of MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE.

Our chat flows and other downloads are to be used with the purpose of which stated under each individual download. We sell templates for you to use and edit. Should conflicts occur with third-party template, we may provide support at our discretion.

ProEdge ChatBoT for Real Estate templates run on both ManyChat, Facebook and the Facebook Messenger platforms. Those platforms can and will release updates periodically and or make changes to their respective Terms Of Service, Operating Policies, and Privacy Policies. ProEdge Investor LLC will make every effort to release updates that address any changes made in a timely manner. Any changes made by ManyChat, Facebook or Facebook Messenger will not be grounds for a refund of any kind. ProEdge ChatBoT for Real Estate will or will not supply updates to those changes at it’s sole discretion.

Limitation of liability

In no event shall ProEdge Investors LLC nor any of its officers, directors and employees, shall be held liable for anything arising out of or in any way connected with your use of this Website whether such liability is under contract. ProEdge Investors LLC including its officers, directors and employees shall not be held liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website.

Indemnification

You hereby indemnify to the fullest extent ProEdge Investors LLC from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these Terms.

Template Licensing

ProEdge Investor ChatBoT and all extensions, unless otherwise stated, are licensed to ProEdge Investor LLC and may not be re-sold or freely distributed after purchase.

Support

ProEdge Investor LLC sells and distributes ProEdge ChatBoT for Real Estate and other templates “as is” and with no implied meaning that they will function exactly as you would like, or that they will be compatible with all third-party components and templates.

Support for templates sold and distributed by ProEdge Investor LLC is only available for those who have an active, paid extension license.

Support and updates for ProEdge ChatBoT for Real Estate templates and templates are provided as long as ProEdge Investor LLC is actively in development. Should any one of the following occur, ProEdge Investor LLC will no longer be responsible for providing support for ProEdge Investor ChatBoT:

ProEdge ChatBoT for Real Estate is no longer actively developed as a viable product under ProEdge Investor LLC.

ProEdge Investor LLC or the parent company is purchased or bought out by another company.

While we attempt to provide the best support possible for our templates, we do not guarantee that any particular support query can, or will be answered to the extent, or within a timeframe that the inquirer is completely satisfied.

 Automatic Updates

We do not offer automatic updates, nor are updates to existing flows included in the sale of a template.

License Usage

ProEdge Investor LLC grants each customer one non-transferable license to use the template for internal use, and as defined by the terms set in the customer’s chosen package.

Where the download allows the template to be used on multiple sites the customer/license-holder may not on-sell the originally-purchased template provided by ProEdge Investor LLC, to other users of the license (such as clients) for commercial benefit. Additionally, the customer may not sublicense, to any person or entity, any rights to distribute the template or license key. ProEdge Investor LLC will only provide support services to the original customer/license-holder with a legitimate invoice, and consider any other uses of this license key for support queries as fraudulent.

Template Delivery

After we have processed your payment successfully, you will receive an email with your order number and other purchase information. Your license key is available in your account area along with your template downloads. You can download the template by logging into the account created for you when purchasing the template and clicking on the appropriate link.

Access to re-download purchased files will be granted so long as your template exists in our store.



Ownership

All templates are property of ProEdge Investor LLC. Claiming any type of intellectual or exclusive ownership rights of our products is strictly prohibited.

Our templates are provided “as is” without warranty of any kind, expressed or implied. We shall not be liable for any damages, including but not limited to, direct, indirect, special, incidental or consequential damages or losses that occur due to the use or inability to use our templates.

Price Changes

ProEdge Investor LLC reserves the right to modify, change, cancel or upgrade a template subscription and/or license key without prior notice or consent. Prices of all products are subject to change without prior notice or consent.

Refund Policy

We firmly believe in and stand behind our product 100%, but we understand that it cannot work perfectly for everyone all of the time. If you are unhappy with your purchase, or you have an issue that we are unable to resolve that makes the system unusable, we will be happy to consider offering a refund.

Refunds will be offered at our sole discretion and must meet all of the following conditions fully:

You are within the first 30 days of the purchase of the template.

You have fully implemented our system and have run Facebook ads for 25 consecutive days.

You can show proof of running Facebook ads directly into your chatbot for 25 consecutive days.

You can show proof of running Facebook ads on a $10 per day budget for 25 consecutive days.

You give us admin access to your ManyChat account to uninstall the ProEdge ChatBoT for Real Estate template.

You have attempted to resolve your issue(s) with our support team.

No refunds will be granted after the first 30 days of the original purchase whatsoever.

Refunds will only be given for the full value of the ProEdge ChatBoT Real Estate template purchased

No refunds will be given for the installation of ProEdge ChatBoT for Real Estate valued at $100.00.

No refunds will be given for the installation of the Facebook ads add on package valued at $300.00.Issues caused by 3rd party templates, themes or other template will not provide grounds for a refund.

Email

ProEdge Investor LLC may occasionally send you emails related to the purchase of product(s) from our company. We may also send you occasional email newsletters relating to ProEdge ChatBoT for Real Estate updates, promotions, ProEdge ChatBoT for Real Estate extensions and the like. We will never sell or release your email to any third party vendors. You may opt out of these emails at any time without penalty.

12. License Agreement

By purchasing our product(s), you indicate and consent that you have read and agree to the Terms & Conditions listed and detailed on this page. We reserve the right to change or modify the current Terms and Conditions without prior notice or consent.

Severability

If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

Variation of Terms

ProEdge Investors LLC is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review these Terms on a regular basis.

Assignment

ProEdge Investors LLC is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Entire Agreement

These Terms constitute the entire agreement between ProEdge Investors LLC and you in relation to your use of this Website, and supersede all prior agreements and understandings.

Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of the State of Nevada, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Nevada for the resolution of any disputes.
